What is a Purchase Agreement?

A Purchase Agreement is a legal contract between a buyer and a seller that sets out the terms of a sale: what is being sold, the price, how and when payment is made, and when ownership transfers.

Unlike a simple receipt, it is signed before or at the time of the transaction and protects both sides by putting every agreed term in writing, from the condition of the item to what happens if something goes wrong.

The two documents are related but play different roles. A Purchase Agreement is signed before the transaction and spells out the terms both sides commit to, while a Bill of Sale is a receipt-like record signed at the moment ownership actually transfers.

For larger or more complex sales, many people use both: the Purchase Agreement to lock in the terms, and a Bill of Sale to document the completed transfer.
